Bausch Health Solta Legal & Compliance Manager in Daegu, South Korea

Job location: Seoul, South Korea

Primary Goals

Provide legal support to Solta Medical Korea on a wide range of matters, including:

  • Commercial issues, such as contract review and editing;

  • Regulatory compliance issues, such as reviewing promotional and marketing materials, monitoring the regulatory environment for medical devices and ensuring compliance with local laws;

  • Contentious issues, such as handling government investigations, adverse events and other legal disputes;

  • IP enforcement issues, such as take down of infringers and supporting counterfeits investigations.

Serve as country compliance officer for Solta Medical Korea by, among other things:

  • driving a strong ethical and compliance culture across Solta’ s businesses, including training employees and third-party intermediates;

  • conducting compliance monitoring, audits and investigations, as and when required;

  • implementing ethical and compliance programs, and reviewing and approving businesses’ activities accordingly to internal rules.

Provide legal and compliance support to other Solta APAC affiliates where and as needed.

Job Requirements:

Legal

Provide sound, efficient and effective legal services and advice to business functions in Solta Medical Korea and, from time to time, the rest of APAC, including:

  • Review, draft and advise all forms of agreements related to Solta’s business;

  • Ensure the timely and effective provision of legal advice to internal clients on a wide range of legal issues (such as antibribery privacy, competition, intellectual property and employment law issues) and work with internal functional teams to find constructive solutions to meet the objectives of the business whilst managing legal risks;

  • Advise the business on any changes in laws and regulations and cooperating with the functional team to take necessary actions (including relevant healthcare and medical device regulations);

  • Support intellectual property related matters including protection and enforcement;

  • Localize and develop contract templates, legal related processes and policies;

  • Manage and resolve disputes / litigations / government investigations and adverse events;

  • Supervise external counsel and monitor billing guidelines/fees;

  • Review, develop and ensure compliance with, legal policies and procedures, including conducting trainings;

  • Handle company secretarial matters for local entities; maintain contract repository and record management

  • Manage external counsel and legal budgets.

Compliance

  • In partnership with Bausch Health’s Chief Compliance Officer and other Ethics & Compliance personnel, implement an effective Compliance program across the Solta Medical Korea businesses.

  • Drive a strong corporate governance culture, maintaining good and transparent relations with all key stakeholders, both internal and external.

  • Contribute to the development of country specific compliance policies and procedures and code of conduct based on legal and regulatory developments or enhancement of internal controls.

  • Conduct compliance trainings and onboarding for new hires, refresher trainings as and when needed as well as remediation-based trainings along with maintaining and archiving training records.

  • Conduct periodic monitoring reviews and tests to ensure all areas of the business are operating in accordance with relevant laws and regulations, as well as internal policies and procedures, and work with stakeholders to implement remediation plans where necessary.

  • Advise country management and functional leaders on new/ proposed legislation, as well as ethics and compliance policies and procedures.

  • Implement the Bausch Health Third Party due diligence and monitoring programs for Korean and other relevant APAC markets. Train distributors and high-risk vendors on Solta’s ethics and compliance policies and procedures.

  • Support Solta’s data privacy program, in partnership with the Bausch Health data protection officer.

  • Support Solta’s compliance with applicable local transparency legislation.

  • Conduct internal investigations into potential breaches of policies and compliance related complaints.

  • Implement sensible changes to compliance processes and programs to enhance efficiency and to comply with new regulatory requirements and/ legislation.

  • Assist with external audit(s) as and when conducted.

Requirements

Sound knowledge of Korean legal and compliance laws and regulations

Strong communication, analytical and organizational skills

Native speaker of Korean; fluent in English

Bachelor’s Degree or above (Master’s Degree is preferred)

Korean Bar Association

At least 3 years of private practice and/or in-house experience including at least 2 years of experience gained within a compliance/auditing function preferred

Compliance/legal experience in medical device, pharmaceutical or biotechnology industry

In-depth understanding of regulations related to licensing, import, distribution and marketing of medical devices

General understanding of competition laws, antibribery laws, labor laws, privacy laws, e-commerce laws, advertisement laws

Experience handling government investigations preferred

Experience in law firms preferred

Healthcare (Device or Pharma) legal and/or compliance experience preferred

Experience dealing with government authorities and litigation experience preferred

Good understanding of the Korean compliance requirements for healthcare industry

Korean bar required

Good written and oral English
