Edwards Lifesciences Director, Corporate Counsel, M&A in Irvine, California

The Director, Corporate Counsel, M&A reports to the VP, M&A Counsel and is a subject matter expert who will have responsibility to help support Edwards’ Corporate Development team on all strategic transactions, including M&A and corporate venture capital investments. The successful candidate will have a unique opportunity to help shape the Company’s strategic vision and collaborate with various levels of leadership to help Edwards achieve its business objectives by providing practical, timely and effective legal counsel, while minimizing potential legal risks (and having fun doing it as part of a great team).

Work Schedule: Given the collaborative and complex nature of this work, this role is in person full time in Irvine, California.

You will make an impact by...

  • Providing legal guidance to Edwards, including working closely with the Corporate Development team, business units (Transcatheter Heart Valves, Transcatheter Mitral and Tricuspid Technologies, Surgical Structural Heart and Advanced Technology) and other business functions (e.g., accounting, treasury, tax, finance, IP, etc.) in all stages of acquisitions, term sheet negotiations, deal structuring, running deal processes, drafting and negotiating definitive documents, closing deals and addressing post-closing integration and indemnification issues.

  • Leading the legal due diligence process in acquisitions and investments, coordinating with other legal and business partners, communicating findings, risks and proposed solutions to senior leadership.

  • Driving continuous improvements, scalability and operational excellence in deal processes and execution.

  • Partnering and providing legal guidance to other attorneys in the Law department.

  • Managing outside counsel.

  • Developing and harmonizing standard processes and templates; create, improve and institutionalize knowledge base for M&A Legal and related support functions.

  • Developing and delivering legal education to business colleagues in specific areas (e.g., M&A, antitrust, contract negotiation and drafting, etc.).

  • Monitoring legal developments applicable to the M&A, investment and medtech spaces.

What you'll need (Required):

  • Juris Doctor from ABA-accredited law school with 8 years of legal experience in corporate law focused on M&A and investment transactions.

  • Top tier law firm experience.

  • Extensive experience with minority investments (both equity and debt financings), including venture capital, PE/VC fund investments.

  • Experience with strategic commercial transactions including joint ventures, development, supply, distribution, evaluation and other similar agreements.

  • In-depth knowledge of corporate, securities, intellectual property and contract law.

  • Strong communication skills, including the ability to convey complex legal and transactional concepts/issues clearly and succinctly to legal and business decision makers.

  • Strategic thinking, proactive mindset, and “can-do” attitude.

  • Highly responsive and service-oriented attitude.

What else we look for (Preferred):

  • Experience in the M&A function at a strategic acquiror.

  • Life sciences / medtech industry experience.

  • Familiarity with structured transactions, including options to acquire.

  • High level of comfort with intellectual property licensing transactions.

  • Understanding of financial statements and business projections.

Aligning our overall business objectives with performance, we offer competitive salaries, performance-based incentives, and a wide variety of benefits programs to address the diverse individual needs of our employees and their families.

For California, the base pay range for this position is $166,000 to $235,000 (highly experienced).
