Associate Attorney (Mergers & Acquisitions; Private Equity). Provide advice and counsel to corporate clients regarding mergers and acquisitions and private equity matters, including regarding deferred compensation plans and transactional tax structuring, such as Subchapter F reorganizations and Effective Connected Income (ECI). Draft legal documents in connection with providing corporate counsel, inclusive of subscription documents, such as Accredited Investor Questionnaires for compliance with Reg D and applicable Blue Sky Laws. Juris Doctor (J.D.) degree required. Minimum of 3 years’ experience in full-time attorney position(s) involving providing advice and counsel to corporate clients regarding a) transactional tax structuring, including Subchapter F re-organizations and Effective Connected Income (ECI), b) deferred compensation plans and c) subscription documents, including Accredited Investor Questionnaires, for compliance with Reg D and applicable Blue Sky Laws.
