Represent sponsors, lenders, private placement investors, equity investors and developers in financing transactions including traditional project financings, Term Loan A, Term Loan B, private placements, acquisition financings and holding company portfolio financings, as well as project financings involving oil and gas projects, thermal power projects, energy transition projects and digital infrastructure projects. Advise clients participating in these transactions, including on deal structuring options, current market practice and corporate and legal strategy. Prepare and negotiate principal transaction documents, including credit agreements, security agreements, intercreditor agreements, asset and other purchase agreements, indentures, and legal opinions. Lead negotiation of key business and legal terms with counterparties and opposing counsel. Oversee transactional due diligence processes. Coordinate with regulatory teams and local counsel in other jurisdictions.$445,000 per year REQUIREMENTS: Juris Doctor or foreign equivalent, New York Bar admission, 5 years of experience in position or 5 years of alternate occupational experience performing complex energy and infrastructure project financing advisory legal duties. In lieu of a Juris Doctor or foreign equivalent, a Master of Laws or foreign equivalent is acceptable. In lieu of a Juris Doctor or foreign equivalent or a Master of Laws or foreign equivalent, a Bachelor of Laws is acceptable.
