Represent and advise privately-held companies and venture capital funds in connection with cross-border and domestic transactional matters including venture capital financings, debt financings, mergers and acquisitions, spin-off transactions and strategic partnerships. Represent and advise startups and high-growth companies in connection with corporate matters including formation and early-stage strategies, dissolution, intellectual property and data privacy and security matters, employment and separation matters, equity and equity incentive matters, regulatory and securities law compliance, and corporate governance and corporate tax matters. Negotiate, prepare and review primary transaction documents, including stock purchase agreements, shareholder agreements and merger and acquisition agreements. Liaise with founders, investors, counsel for counterparties and internal and external specialists to address transactional and corporate matters. Represent and advise venture capital and private equity firms in connection with fund formation matters. $260,000 per yearREQUIREMENTS: Juris Doctor or foreign equivalent, New York Bar admission, 3 years of experience in position or 3 years of alternate occupational experience performing complex emerging companies & growth outside advisory legal duties. In lieu of a Juris Doctor or foreign equivalent, a Master of Laws or foreign equivalent is acceptable.
